Terms & Conditions

Last updated: 3 September 2026

These Terms & Conditions apply to services supplied by Reedy’s Web Designs. By accepting a quotation, proposal, service agreement, placing an order, making payment, or otherwise instructing Reedy’s Web Designs to commence work, you agree to the applicable terms below.

Any quotation, proposal or service-specific agreement may contain additional terms. Where there is a conflict, the expressly agreed service-specific terms will take precedence.

1. About Reedy’s Web Designs

Reedy’s Web Designs provides services including website design and development, website hosting, maintenance and management, search optimisation, graphic and digital design, software and technical services, and related support.

References to “we”, “us” or “our” mean Reedy’s Web Designs.

References to “you”, “your” or “the client” mean the person, business or organisation purchasing or receiving our services.

2. Quotations and acceptance

Unless otherwise stated, quotations are based on the scope and requirements known at the time they are prepared.

A quotation does not oblige Reedy’s Web Designs to commence work until the project or service has been accepted and any required deposit or initial payment has been received.

Acceptance may be recorded electronically, through the Reedy’s Client Portal, in writing, by email, by payment of an invoice or by another method agreed between us.

Additional work requested outside the agreed scope may be quoted and charged separately.

3. Client responsibilities

You are responsible for providing information, content, approvals, credentials and other materials reasonably required to perform the agreed work.

Unless specifically included in the service, you are responsible for ensuring that material you provide may lawfully be used and does not infringe the rights of another person.

You should review work and provide requested feedback or approval within a reasonable period.

Delays in providing information, content, access or approval may affect delivery dates.

4. Prices and payment

Prices will be those stated in the applicable quotation, proposal, invoice, package or service agreement.

Invoices must be paid by the due date shown on the invoice.

Where a recurring service is supplied, invoices will normally continue to be raised for the duration of that service until it is validly cancelled, terminated or replaced.

The existence of a dispute relating to one element of a service does not automatically suspend payment obligations for unrelated undisputed amounts.

5. Late and unpaid invoices

If an invoice becomes overdue, we may contact you to request payment and may pause non-essential work until the account is brought up to date.

Where multiple invoices remain unpaid, we may restrict, suspend or terminate affected services in accordance with these Terms and any applicable service agreement.

Any reasonable costs lawfully incurred in recovering overdue sums may be recoverable where permitted by law.

Nothing in these Terms limits any statutory rights available to Reedy’s Web Designs in relation to late commercial payments.

6. Website service suspension for non-payment

For recurring website services, including applicable website management, maintenance or hosting packages, persistent non-payment may result in suspension of the website associated with the unpaid service.

Unless different terms have been expressly agreed, our standard enforcement policy is:

  • the first and second qualifying unpaid invoices will not ordinarily cause automatic website suspension;
  • when a third qualifying invoice for the same website service becomes open and unpaid, a seven-day grace period begins;
  • the website will ordinarily remain available during that grace period; and
  • if the qualifying account remains unpaid when the seven-day grace period expires, we may suspend the affected website and/or service.

Only invoices relating to the relevant website service will ordinarily be considered when applying this policy. Unrelated work or purchases will not normally be counted towards the website-service suspension threshold.

We may delay, waive or manually override a suspension at our discretion. Doing so on one occasion does not waive our right to enforce these Terms subsequently.

7. Reactivation following billing suspension

Where a website has been suspended for non-payment, it may be reactivated when the amounts required to restore the account have been received and cleared.

If the outstanding account is settled before a further billing period begins, the website may ordinarily be restored once the qualifying arrears have cleared.

If the account remains suspended into a subsequent billing period and a new invoice for the continuing service has been generated, we may require that current invoice to be paid in addition to the previous arrears before restoring the website.

This means that where a client has fallen substantially behind with recurring payments, the account may be required to return to a paid-in-advance position before service resumes.

Restoration may be automatic or manual depending on the service and payment method.

8. Effect of website suspension

A billing suspension is intended to restrict public access to the affected website without unnecessarily destroying the website or its data.

Where technically possible, we may continue to maintain administrative access, backups, monitoring, security functions, updates and other technical facilities while the public website is suspended.

Suspension does not transfer ownership of hosting, domains, software, licences or other assets to the client.

Unless expressly agreed otherwise, recurring charges may continue during a period of suspension where the underlying hosting, management, licensing or infrastructure continues to be supplied.

9. Recurring services and minimum terms

Some recurring services are subject to a minimum contractual term.

The applicable minimum term and start date will be stated in the quotation, proposal, service package, Client Portal or other agreement.

A client may not ordinarily downgrade or terminate a minimum-term service before the minimum term has expired unless:

  • the applicable agreement expressly permits it;
  • we agree to an early change or termination; or
  • the client has a legal right to terminate that cannot lawfully be excluded.

Any amounts properly due for an agreed minimum term remain payable subject to applicable law and the terms of the individual agreement.

10. Cancellation and downgrade notice

Unless different terms have been expressly agreed, recurring package downgrades are subject to one month’s notice after any applicable minimum term has expired.

The existing package and charges may continue during the notice period.

The effective date of a downgrade will be confirmed when the request is accepted.

Cancellation terms may depend on the particular service and any applicable minimum term or service agreement.

Requests should be made through the Client Portal or another written method accepted by Reedy’s Web Designs so that the request and effective date can be recorded.

11. Legacy and grandfathered services

Some existing clients may receive services or packages at historical or “legacy” prices that are no longer offered to new customers.

A legacy price remains applicable only while the qualifying legacy service continues without a change that relinquishes that entitlement.

If you cancel or downgrade a legacy service, your entitlement to its legacy pricing will normally end permanently.

If you subsequently request the same or an equivalent service, it will be offered at the current price and terms applicable at that time, not the former legacy price.

Before processing an applicable cancellation or downgrade through the Client Portal, we may require you to acknowledge that you understand that your legacy pricing will be lost.

Reedy’s Web Designs may, at its sole discretion, reverse a change or restore a legacy entitlement in exceptional circumstances. A discretionary restoration does not create a general right to reinstatement.

12. Changes to recurring service prices

We may review and change the prices of services from time to time.

Where a client has an agreed fixed or minimum-term price, changes will be handled in accordance with that agreement.

Where appropriate, existing clients may remain on a legacy service or price rather than automatically moving to a newer service version.

Any applicable price change will be communicated before it takes effect where required.

13. Website hosting, domains and third-party services

Websites may rely on third-party services including hosting providers, domain registrars, email services, content delivery networks, plugins, themes, APIs, payment providers and other software.

Unless specifically agreed otherwise:

  • third-party services remain subject to their own terms and availability;
  • we cannot guarantee uninterrupted availability of systems outside our control;
  • licence or subscription costs imposed by third parties may change;
  • discontinued or incompatible third-party software may need to be replaced; and
  • additional work arising from significant third-party changes may be chargeable.

Where we manage a third-party service on your behalf, this does not mean that Reedy’s Web Designs owns or controls that provider.

14. Website maintenance and security

Where maintenance or management is included in your package, we will take reasonable steps to maintain the website within the scope of the service purchased.

No website or internet-connected system can be guaranteed to be completely secure or continuously available.

Security incidents may occur because of vulnerabilities, third-party software, compromised credentials, hosting infrastructure, client actions or circumstances outside our reasonable control.

Where appropriate, we may temporarily restrict access to a website or service where reasonably necessary to protect the client, website, infrastructure or other systems.

15. Backups

Where backups are included in a service, we will take reasonable steps to operate the agreed backup arrangements.

Backups are a risk-reduction measure and are not an absolute guarantee against data loss.

Clients should retain independent copies of particularly important business information where appropriate.

16. Support

Support is provided according to the scope of the package or service purchased.

Support requests may be submitted through the Reedy’s Client Portal or another agreed support channel.

Response times are not guaranteed unless a specific service level has been expressly agreed.

Urgent classification does not necessarily mean that an issue can be resolved immediately.

Work outside the scope of the client’s package may be quoted or charged separately.

17. Client Portal

Where provided, access to the Reedy’s Client Portal is for authorised clients and users only.

You are responsible for:

  • keeping your login credentials secure;
  • not sharing accounts with unauthorised persons;
  • providing accurate account information;
  • notifying us if you believe an account has been compromised; and
  • using the Portal lawfully and reasonably.

Actions performed through an authenticated client account may be recorded as part of the account’s service and audit history.

Additional Portal-specific terms may apply.

18. Intellectual property and ownership

Unless otherwise expressly agreed, Reedy’s Web Designs retains ownership of its pre-existing intellectual property, development methods, reusable components, tools, frameworks, software, processes and know-how.

Third-party materials remain subject to their respective licences.

For bespoke client work, the rights granted to the client will depend upon the applicable quotation, proposal or agreement.

Unless expressly agreed otherwise, ownership or permanent usage rights in bespoke work created by Reedy’s Web Designs do not transfer until all invoices relating to that work have been paid in full.

Until full payment has been received, any proofs, designs, development files or other deliverables supplied for review or approval remain subject to Reedy’s Web Designs’ rights and may not be commercially exploited beyond any permission expressly granted.

Where full payment has been received, the client will receive the rights expressly agreed for the final deliverables, subject to any third-party licences and retained Reedy’s Web Designs materials.

19. Portfolio use

Unless confidentiality has been expressly agreed, we may identify completed work as work produced by Reedy’s Web Designs and display reasonable examples in our portfolio, website, social media or promotional materials.

We will not intentionally disclose confidential client information as part of portfolio use.

A client may ask us not to use a project publicly, and reasonable requests will be considered.

20. Content and legal compliance

The client remains responsible for the legality and accuracy of content they supply or instruct us to publish.

This includes, where applicable:

  • text and claims;
  • images and other media;
  • trademarks and branding;
  • product information;
  • prices;
  • legal notices;
  • regulatory information; and
  • permissions or licences for supplied materials.

We may refuse to publish or may remove material where we reasonably believe doing so is necessary to comply with law, protect our systems or avoid infringement of third-party rights.

21. Search engines, advertising and business results

Where SEO, advertising, marketing or similar services are supplied, we cannot guarantee particular rankings, traffic levels, enquiries, sales or commercial results.

Search engines, advertising platforms and other third-party systems control their own algorithms, policies and services and may change them without notice.

22. Project delays and inactivity

Project timescales depend upon timely cooperation from both parties.

Where a project is materially delayed because requested content, information, feedback or approval has not been supplied by the client, scheduled completion dates may be moved.

If a project remains inactive for an extended period because of the client, we may reschedule the work and, where appropriate, quote for additional work required to restart or update the project.

23. Termination

Either party may terminate services in accordance with the applicable agreement, minimum term and notice requirements.

We may suspend or terminate a service where there is:

  • persistent non-payment;
  • serious or repeated breach of these Terms;
  • unlawful use;
  • abuse of our staff, systems or services;
  • a significant security risk; or
  • another circumstance making continued provision of the service unreasonable or unlawful.

Where reasonably practicable, we will provide notice before termination unless immediate action is required for security, legal or other serious reasons.

Termination does not remove liability for amounts already properly due.

24. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to applicable law, Reedy’s Web Designs will not be liable for indirect or consequential losses, loss of anticipated profits, loss of business opportunity, or losses arising from systems or services outside our reasonable control.

Where liability cannot lawfully be excluded, our liability will be limited only to the extent permitted by applicable law.

Clients are responsible for maintaining appropriate business continuity arrangements and independent copies of business-critical information where appropriate.

25. Events outside our reasonable control

We will not be responsible for a failure or delay caused by circumstances outside our reasonable control.

These may include major hosting or network outages, widespread internet disruption, acts of government, natural disasters, fire, flood, serious illness or incapacity, cyber incidents affecting third parties, industrial disputes or failure of essential third-party infrastructure.

We will take reasonable steps to minimise disruption where practicable.

26. Data protection and privacy

Personal information is processed in accordance with our Privacy Policy and applicable data protection law.

Where we process personal information on behalf of a client in connection with services supplied to them, additional data-processing terms may apply where required.

27. Electronic records and acceptance

Agreements, service requests, terms acceptances, package-change requests and other actions may be completed electronically.

Records maintained through the Reedy’s Client Portal or other business systems may be used to establish when an action was taken, which authenticated account performed it and which version of applicable terms was accepted.

28. Changes to these Terms

We may update these Terms to reflect changes in our services, systems, business practices or legal requirements.

Changes will not retrospectively alter a separately agreed fixed contractual commitment unless permitted by that agreement or applicable law.

The current version will be published on our website with its revision date.

Where a material change affects an ongoing service, we may notify affected clients where appropriate.

29. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

30. No waiver

If we choose not to enforce a right or provision on one occasion, that does not prevent us from enforcing it subsequently.

31. Governing law

These Terms and any dispute arising from them are governed by the laws of England and Wales, unless applicable law requires otherwise.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply to the client.
