Reedy’s Client Portal Terms of Use

These Terms of Use govern access to and use of the Reedy’s Client Portal provided by Reedy’s Web Designs.

The Client Portal is provided to authorised clients and users as part of the administration and delivery of services supplied by Reedy’s Web Designs.

These Terms of Use should be read alongside our main Terms & Conditions and Privacy Policy.

1. About the Client Portal

The Reedy’s Client Portal is an online service provided by Reedy’s Web Designs to help clients access and manage information relating to their services.

Depending on the services supplied to you, the Portal may provide access to features including:

  • client and account information;
  • current service packages;
  • websites associated with your account;
  • support requests and communications;
  • documents and agreements;
  • service requests;
  • billing and invoice information;
  • account activity; and
  • other client services introduced from time to time.

Not all features are available to every client or service package.

2. Licence to use the Portal

Reedy’s Web Designs grants authorised users a limited, non-exclusive, non-transferable and revocable right to access and use the Client Portal for legitimate purposes connected with services supplied by Reedy’s Web Designs.

This permission does not transfer ownership of the Portal, Reedy’s Hub, its source code, underlying software, systems, design, intellectual property or associated technology.

Access may be withdrawn when your client relationship ends or where otherwise permitted under these Terms or our main Terms & Conditions.

3. Authorised users

Portal accounts are intended only for the person to whom they are issued.

You must not:

  • share your login credentials with unauthorised persons;
  • permit another person to impersonate you;
  • access another client’s account or information;
  • attempt to circumvent access controls; or
  • create or use accounts for fraudulent, unlawful or unauthorised purposes.

Where a business requires access for additional members of staff, additional authorised users should be requested rather than sharing an existing account.

4. Account security

You are responsible for taking reasonable steps to keep your account credentials secure.

You should notify Reedy’s Web Designs promptly if:

  • you believe your password or account has been compromised;
  • an authorised user should no longer have access;
  • you identify activity you do not recognise; or
  • your contact information changes materially.

We may revoke sessions, require a password reset or temporarily restrict access where reasonably necessary to protect an account or our systems.

5. Acceptable use

You must not use the Client Portal to:

  • break any applicable law;
  • interfere with the operation or security of the Portal;
  • introduce malicious software or harmful content;
  • probe, scan or test systems without permission;
  • attempt to bypass authentication or access controls;
  • access information belonging to another client;
  • reverse engineer or attempt to obtain the Portal’s source code except where applicable law expressly permits it;
  • automate excessive or abusive requests against the service; or
  • use the Portal in a way that could reasonably damage Reedy’s Web Designs, its systems, suppliers or other clients.

6. Support requests and communications

Support requests submitted through the Portal form part of the client’s service history.

Messages, replies, status changes and related activity may be recorded so that Reedy’s Web Designs and the client have an appropriate history of the support request.

Submitting a request does not guarantee a particular response or resolution time unless a specific service level has been separately agreed.

7. Documents and electronic acceptance

The Portal may allow documents, agreements, service terms or other notices to be provided electronically.

Where the Portal asks you to accept or acknowledge a document, we may record information including:

  • the document and version presented;
  • the authenticated user accepting it;
  • the date and time of acceptance; and
  • appropriate technical or audit information associated with the action.

Where appropriate, this electronic record may be used as evidence that the relevant document or terms were presented and accepted.

8. Service and package requests

The Portal may allow you to request additional services or changes to existing services.

Submitting a request does not necessarily cause an immediate contractual, package or billing change.

Requests may require review and acceptance by Reedy’s Web Designs before becoming effective.

Applicable prices, minimum terms, notice periods and other conditions will be governed by the relevant service terms and our main Terms & Conditions.

9. Legacy service pricing

Where your account includes a legacy or grandfathered service, the Portal may identify that service as being provided on historical pricing that is no longer generally available.

If you request cancellation or downgrade of an applicable legacy service, you may be required to acknowledge that doing so will end your entitlement to the legacy price.

Once relinquished, a legacy price cannot ordinarily be reinstated by the client.

Any future service will normally be supplied at the prices and terms available at that time.

10. Billing information and QuickBooks Online

The Portal may display billing information associated with your Reedy’s Web Designs account.

Where this facility is enabled, billing information may be securely retrieved from our accounting system, including QuickBooks Online.

Information displayed may include invoice numbers, invoice dates, due dates, amounts, balances and payment status.

Portal access does not provide direct access to our accounting account and does not authorise a client to alter accounting records.

Billing information displayed through the Portal is provided for account-management purposes. If you believe information is incorrect, please contact Reedy’s Web Designs.

11. Files and client information

Where file or document facilities are provided, they are intended for information reasonably connected with the services supplied by Reedy’s Web Designs.

You should not use the Portal as your sole storage location for business-critical files.

You must not intentionally upload unlawful, malicious or infringing material.

12. Availability and changes

We aim to keep the Client Portal reasonably available but do not guarantee uninterrupted or error-free operation.

The Portal may occasionally be unavailable because of:

  • maintenance;
  • updates;
  • security work;
  • hosting or infrastructure problems;
  • third-party service disruption; or
  • circumstances outside our reasonable control.

We may modify, replace, add or remove Portal functionality as the service develops.

13. Suspension of Portal access

We may temporarily suspend or restrict Portal access where reasonably necessary because of:

  • a security concern;
  • suspected unauthorised access;
  • misuse of the Portal;
  • termination or suspension of the associated client relationship;
  • legal requirements; or
  • serious or repeated breach of these Terms.

Suspension of Portal access is separate from any suspension of a client website or other service under our main Terms & Conditions.

14. Intellectual property

The Client Portal, Reedy’s Hub, their underlying software, interfaces, code, systems, branding and associated intellectual property belong to Reedy’s Web Designs or the relevant third-party rights holder.

Nothing in these Terms transfers ownership of those materials to a Portal user.

Client-owned materials remain the property of the client or applicable rights holder.

Third-party software and services remain subject to their respective licences and terms.

15. Third-party services

Some Portal functionality may depend upon third-party services such as hosting, accounting, email, cloud storage or other infrastructure.

Those services may be subject to their providers’ own terms and privacy practices.

Reedy’s Web Designs is not responsible for failures of third-party services outside our reasonable control.

16. Privacy

Personal information associated with the Client Portal is processed in accordance with our Privacy Policy and applicable data protection law.

This may include authentication, security and activity information necessary to operate and protect the service.

17. Termination of access

Portal access may end when:

  • the associated client relationship ends;
  • the user is no longer authorised by the client;
  • access is no longer required;
  • the account is terminated for misuse; or
  • Reedy’s Web Designs withdraws the Portal service.

Ending Portal access does not automatically delete records that we are entitled or required to retain for contractual, accounting, security, legal or other legitimate purposes.

18. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

The Client Portal is an administrative facility supporting services supplied by Reedy’s Web Designs.

Subject to applicable law, we are not responsible for indirect or consequential losses arising from temporary Portal unavailability or from third-party systems outside our reasonable control.

19. Changes to these Terms

We may update these Terms of Use as the Client Portal and our services develop.

The current version will be published on our website with its latest revision date.

Where appropriate, users may be required to accept an updated version before continuing to use particular Portal features.

20. Governing law

These Terms of Use are governed by the laws of England and Wales, unless applicable law requires otherwise.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply.
